Chapter 1: General Provisions
Article 1: The name of this organization shall be the Taiwan Drone Racing and UAV Promotion Association (hereinafter referred to as “the Association”).
Article 2: The Association is established in accordance with the law. Its founding mission is as follows: To promote domestic drone racing, with emphasis on nurturing young people as drone operation professionals; to plan and organize domestic experience and competition events; to introduce outstanding pilots to actively participate in international competitions to increase the visibility and promote competitive racing; to continuously align with government policies, guide young people, and encourage involvement in drone-related industries (including various unmanned vehicles, AI-controlled R&D, etc.), effectively promoting industrial development and leading technological trends.
Article 3: The tasks of the Association are: Promote “drone skills training,” including establishing training bases and certification venue partnerships. Advocate the importance of the drone industry to the nation and encourage youth participation. Invite enterprises and drone-related businesses to organize various drone competitions, promoting drone sports through practical action and encouraging youth individual or team participation. Establish training plans, set up coach and pilot selection systems, regularly hold drone training courses, and actively cultivate future drone technology talent and professional pilots. Assist underprivileged, indigenous, and other specific group students through Association subsidies or corporate sponsorship to receive free drone training and certification courses. Promote collaborative drone racing tournaments with schools, institutions, or educational groups across cities and counties, such as aerial soccer, obstacle courses, timed races, drone wrestling, and aerial photography competitions, effectively promoting competitive activities to become a national sport. Promote Taiwan’s tribal camps to join as flight activity camps, upgrading to drone training and competition venues, driving tribal drone competitions, developing local community revitalization, and using drone photography to showcase the beauty of Taiwan’s indigenous communities internationally. Actively participate in international drone competition exchanges to enhance youth international perspectives and bring Taiwan’s drone racing to the global stage. Establish a professional drone pilot talent database and actively maintain information security. Establish financial audit and management mechanisms, actively seek social resources, and accept drone racing-related commissions consistent with the Association’s mission.
Article 4: The competent authority of the Association is the Ministry of the Interior. The Association’s purpose-related businesses shall be subject to the guidance and supervision of the respective competent authorities.
Article 5: The organizational area of the Association covers the entire national administrative area.
Article 6: The Association’s address is located at No. 333, Dalin Road, Daya District, Taichung City, and branch offices may be established with the approval of the competent authority. The organizational rules of branch offices shall be drafted by the Board of Directors and submitted to the competent authority for approval. Changes to the address of the headquarters and branch offices shall be reported to the competent authority for record.
Chapter 2: Members, Directors, and Supervisors
Article 1: Membership application qualifications are as follows: Individual members: Citizens who agree with the Association’s mission, hold a Republic of China ID card, and are at least 18 years old. Group members: Public or private institutions or organizations that agree with the Association’s mission. Sponsoring members: Organizations or individuals that sponsor the Association’s work. Observer members: To ensure that prospective members can actually participate in and carry out the Association’s tasks, all individuals, groups, or sponsors willing to support the Association’s promotional activities shall be observer members during their first year, eligible to participate in basic activities (experiences, training, competitions, etc.). Observer members who have been members for one year or more may be recommended by a director or supervisor, and upon approval by the Board of Directors, their observer status may be converted to individual, group, or sponsoring membership, at which point they begin exercising membership rights.
Article 2: Members (member representatives) have voting rights, election rights, eligibility for election, and recall rights. Each member has one vote. Observer members do not have the aforementioned rights.
Article 3: The term of office for directors and supervisors is 4 years; they may be re-elected upon expiration. The chairperson may be re-elected once only. The term begins from the date of the first board meeting of the current term.
Article 4: The Association shall have 9 directors (including 2 standing directors and 1 chairperson) and 3 alternate directors. The Board shall elect standing directors from among the directors, and the chairperson from among the standing directors.
Article 5: The Association shall have 3 supervisors (including 1 standing supervisor) and 1 alternate supervisor. The Supervisory Board shall elect a standing supervisor from among the supervisors.
Article 6: Members have the obligation to comply with the Association’s articles, resolutions, and pay membership fees. Members who fail to pay fees shall not enjoy membership rights. Members who fail to pay fees within 2 months past due shall be deemed to have voluntarily withdrawn.
Article 7: Members who violate laws, articles, or fail to comply with resolutions of the General Assembly may, by resolution of the Board of Directors, receive a warning or suspension of rights. Those whose actions seriously harm the organization may be expelled by resolution of the General Assembly.
Article 8: A member shall be deemed to have withdrawn under any of the following circumstances: Death. Loss of membership qualifications. Expulsion by resolution of the General Assembly.
Article 9: Members may submit a written statement of reasons to the Association to declare withdrawal.
Chapter 3: Organization and Authority
Article 1: The General Assembly is the highest authority of the Association. When the number of members (member representatives) exceeds 300, member representatives may be elected proportionally by district to hold a representatives’ assembly exercising the powers of the General Assembly.
Article 2: The powers of the General Assembly include: Establishing and amending the articles of association. Electing and recalling directors and supervisors. Resolving membership fees, annual fees, business fees, and member donations. Resolving annual work plans, reports, budgets, and final accounts. Resolving the expulsion of members. Resolving the disposal of property. Resolving the dissolution of the Association. Resolving other major matters related to members’ rights and obligations.
Article 3: Directors and supervisors shall be elected by members to form the Board of Directors and Supervisory Board respectively.
Article 4: The Chairperson shall internally supervise and direct Association affairs, externally represent the Association, and serve as chair of the General Assembly and Board meetings.
Article 5: Powers of the Board of Directors include: Reviewing membership qualifications. Electing and recalling standing directors and the chairperson. Appointing and dismissing staff. Drafting annual work plans, reports, budgets, and final accounts. Executing resolutions of the General Assembly.
Article 6: When the Standing Supervisor is unable to perform duties, a supervisor shall be designated as substitute.
Article 7: Powers of the Supervisory Board include: Supervising the execution of Board of Directors’ work. Auditing annual final accounts. Electing and recalling the Standing Supervisor.
Article 8: Directors and supervisors serve without compensation and may be re-elected. The Chairperson may be re-elected once only.
Article 9: Directors and supervisors shall be removed under the following circumstances: Loss of membership qualifications. Resignation approved by the Board. Being recalled or removed. Suspension exceeding half the term of office.
Article 10: The Association shall have 1 Secretary-General, appointed by the Chairperson and approved by the Board of Directors, to handle Association affairs.
Chapter 4: Meetings
Article 1: The General Assembly consists of regular meetings and extraordinary meetings, convened by the Chairperson. Except for emergency extraordinary meetings, written notice shall be given 15 days in advance. Regular meetings shall be held once a year. Extraordinary meetings shall be convened when deemed necessary by the Board of Directors, requested by one-fifth or more of members, or requested by the Supervisory Board. Video conferencing may be used when necessary.
Article 2: Members who cannot attend the General Assembly in person may authorize another member as proxy in writing. Each member may serve as proxy for only one other member.
Article 3: Resolutions of the General Assembly require attendance of more than half of the members, with approval by a majority of those present. However, the following matters require approval by two-thirds or more of those present: Establishing and amending the articles. Expulsion of members. Recall of directors and supervisors. Disposal of property. Dissolution of the Association. Other major matters related to members’ rights and obligations.
Article 4: The Board of Directors shall hold meetings at least once every 6 months; the Supervisory Board shall hold meetings at least once every 6 months. Joint meetings or extraordinary meetings may be convened when necessary.
Article 5: Directors shall attend Board meetings and supervisors shall attend Supervisory Board meetings; proxy attendance is not permitted. Directors or supervisors who are absent without cause for 2 consecutive meetings shall be deemed to have resigned.
Chapter 5: Finances and Accounting
Article 1: The Association’s sources of funding are as follows: Admission fees: Individual admission fee is NT$2,000; group admission fee is NT$4,000. Admission fees are collected once only. (Admission fees may be retained by the branch where the member joins.) Annual fees: Annual fees are collected yearly for a period of 12 months, as follows: Individual members: NT$600 per year. Group members: NT$1,200 per year. Sponsoring members: No limit. Business fees. Member donations. Commission income. Funds and interest thereon. Other income.
Article 2: The Association’s accounting year follows the calendar year, from January 1 to December 31. The Board of Directors shall prepare annual work plans, revenue and expenditure budgets, and staff compensation schedules two months before the start of each accounting year for approval by the General Assembly. Within two months after the end of each accounting year, the Board shall prepare annual work reports, revenue and expenditure statements, cash receipts and disbursements statements, balance sheets, property inventories, and fund statements for review by the Supervisory Board.
Article 3: Upon dissolution of the Association, remaining assets shall belong to the local government or an organization designated by the competent authority.
Chapter 6: Supplementary Provisions
Article 1: Matters not covered by these articles shall be handled in accordance with relevant laws and regulations.
Article 2: These articles shall take effect after being approved by the General Assembly and reported to the competent authority for record. The same applies to amendments.
Article 3: These articles were approved at the 1st General Assembly of the 1st term on October 9, 2024 (ROC Year 113).
